SERVICE PROVIDER AGREEMENT

SERVICE PROVIDER AGREEMENT — PETTXO

Operated by Pettxo Private Limited

Effective Date: 11/06/2026  ·  Version 1.0

What This Agreement Is

This Service Provider Agreement ("Agreement") is a legally binding contract between Pettxo Private Limited ("Pettxo") and every individual or business entity who lists a service on the Pettxo platform. It must be accepted digitally — via an in-app checkbox — before any service card goes live. Once accepted, it governs every listing, every booking, every payout, and every interaction between you and Pettxo for as long as you use the platform as a Provider.

Part 1 — Definitions

The following terms have the meanings set out below wherever they appear in this Agreement.

Term

Meaning

"Agreement"

This Service Provider Agreement, including all schedules (if any) and any future amendments notified in accordance with Part 15.

"Pettxo" / "Company" / "we" / "us" / "our"

Pettxo Private Limited, incorporated under the Companies Act, 2013, CIN U47912MP2026PTC082658, DIPP Recognition No. DIPP254544, having its registered office at Smt Kiran Goutam, 16176, W.no. 11, Baihar, Balaghat — 481111, Madhya Pradesh, India.

"Platform"

The Pettxo iOS application, Android application, website (pettxo.com), and all associated backend infrastructure, APIs, and services operated by the Company.

"Service Provider" / "Provider" / "you"

Any individual, freelancer, sole proprietor, partnership, or registered business entity who has registered on the Platform, or who is in the process of creating a Service Listing, and who has accepted this Agreement.

"Pet Parent"

Any registered Platform user who books a Service for their pet through the Platform.

"Service" / "Listing" / "Service Card"

A specific pet-related service listed on the Platform by the Provider. One service card covers exactly one animal type and one service category.

"Booking"

A paid reservation of a Service slot by a Pet Parent from a Provider, processed through the Platform payment gateway, which is either pending Provider acceptance (REQUESTED status) or has been accepted by the Provider (CONFIRMED status). A Booking ceases to exist upon rejection by the Provider, auto-cancellation due to non-response, or cancellation by either party in accordance with this Agreement.

"Booking Value"

The total amount paid by the Pet Parent at the time of booking, inclusive of all applicable charges, as displayed on the payment confirmation screen.

"OTP"

The unique numeric code generated by the Platform after booking confirmation, visible to the Pet Parent, and entered by the Provider at the commencement of the service. OTP entry is the sole, definitive, and irrefutable record that a service has begun.

"Pettxo Commission"

The platform fee charged by Pettxo on each Booking, as detailed in Part 8. Currently fifteen percent (15%) of the Booking Value on Completed Bookings, and a variable percentage on cancelled Bookings per the schedule in Part 8.3. The Commission is exclusive of GST; see Part 8.1.1.

"Pettxo Fee"

The amount retained by Pettxo on each Booking, comprising the Pettxo Commission on Completed Bookings and a platform cancellation processing fee on cancelled Bookings after the Grace Window has expired, as specified in Part 8.3. The two components differ in nature and are separately described in the footnote to the Part 8.3 table.

"Grace Window"

A time-limited window beginning immediately after payment success confirmation by the payment gateway, during which a Pet Parent may cancel for a 100% refund without deduction. Duration ranges from 10 to 30 minutes depending on the time remaining before the scheduled service, as specified in Part 8.6.

"Off-Platform Payment"

Any monetary transfer — cash, UPI, bank transfer, digital wallet, or any other form — made directly between a Provider and a Pet Parent outside the Platform payment gateway for any service discovered through, listed on, or booked through the Platform, regardless of whether the booking was ultimately completed through the Platform.

"No-Show"

A Booking in which the Pet Parent does not arrive at the service location, the OTP is not used within the service window, and no Dispute is raised within 24 hours of the scheduled service time, resulting in the Platform automatically triggering NO_SHOW_SYSTEM status. This definition applies only where the Provider was present and ready to deliver the service. Where the Provider fails to attend a confirmed Booking, the Provider must cancel per Part 5.3; failure to do so, resulting in NO_SHOW_SYSTEM status being triggered, constitutes Provider fault and the 85% payout is withheld pending Dispute investigation. See Part 8.4.

"Completed Booking"

A Booking that has reached COMPLETED_FINAL status: service was delivered via OTP, the 24-hour Dispute window closed without a Dispute, and Provider earnings have been released.

"Dispute"

A formal objection raised by a Pet Parent or Provider through the Platform’s dispute interface relating to a specific Booking. Time limits for raising a Dispute are specified in Part 13.1.

"Platform Rules"

Operational guidelines, policies, and procedures published by Pettxo on the Platform from time to time, including booking response requirements, conduct standards, and listing guidelines. Platform Rules are supplementary to this Agreement. Where this Agreement expressly refers to Platform Rules to define conduct standards or thresholds, those Platform Rules apply as operational specifications of the relevant Agreement obligation. Pettxo may update Platform Rules with reasonable advance notice through the Platform.

"Aadhaar"

The identity document issued by UIDAI. Used for identity verification only. The Aadhaar number is never extracted or stored as a data field by Pettxo.

"Working Days"

Days other than Sundays and public holidays declared by the Central Government of India.

Part 2 — Independent Contractor Status

2.1  Nature of Relationship

You are an independent contractor. Nothing in this Agreement creates, or shall be construed to create, any relationship of employment, agency, partnership, joint venture, or franchise between you and Pettxo.

Important — Please Read

Pettxo does not employ any Service Provider. Pettxo is a technology-enabled discovery and booking platform — not a pet care company. No Provider is on Pettxo’s payroll. Pettxo assumes no employer obligations toward any Provider under Indian labour law.

2.2  Consequences of Independent Contractor Status

  • You are solely responsible for all decisions relating to how, when, and where you deliver your services. Pettxo’s Platform Rules govern the booking and payment process on the Platform and do not constitute supervision or control of the manner in which you deliver services.

  • You may work for multiple platforms, clients, or businesses simultaneously, subject to your obligations under this Agreement.

  • You provide your own tools, equipment, products, and workspace unless explicitly agreed through the Platform or in a written agreement with a Pet Parent.

  • You bear all costs associated with service delivery, including transport, materials, and professional consumables.

  • You are not entitled to any employee benefits from Pettxo, including but not limited to: paid leave, sick leave, provident fund (EPF), ESIC, gratuity, or any other statutory employment benefit.

2.3  No Authority to Bind Pettxo

You have no authority, express or implied, to make any representation, warranty, or commitment on behalf of Pettxo, to enter into any contract in Pettxo’s name, or to otherwise legally bind Pettxo to any third party.

Part 3 — Eligibility and Onboarding Requirements

3.1  Eligibility Criteria

To register and remain active as a Service Provider, you must at all times satisfy all of the following:

  • Be at least 18 years of age, or be a duly authorised representative of a registered business entity in India.

  • Have the legal capacity to enter into a binding contract under the Indian Contract Act, 1872.

  • Possess a valid Aadhaar card issued by UIDAI.

  • Hold a valid Indian bank account capable of receiving electronic transfers.

  • Not be subject to any court order, regulatory bar, or legal prohibition that would prevent you from delivering pet-related services.

  • Not have had a previous Pettxo Provider account permanently terminated for material breach of this Agreement.

  • Not have been formally notified by Pettxo that re-registration on the Platform is not permitted, regardless of the reason for the prior account termination.

3.2  Aadhaar Verification — Mandatory

Before any Service Listing goes live, you must upload a clear, legible photograph of both the front and back of your Aadhaar card. Accepted formats: JPG, PNG, PDF (maximum 10 MB per file). You warrant that:

  • You are the same person as identified in the Aadhaar document.

  • The Aadhaar document belongs to the individual who will personally deliver the service, or to the authorised proprietor or signatory for a business entity.

  • The document is genuine, unaltered, and currently valid.

  • The image uploaded is not a copy of another person’s Aadhaar.

Your listing goes live immediately after Aadhaar and bank submission with an “Unverified” badge. Pettxo’s team will complete identity review within 72 hours. The Aadhaar image is stored with restricted access (admin-only) and digitally processed to mask the first 8 digits of the Aadhaar number visible in the document within 24 hours of review completion. If your submission is rejected, you will be notified in-app with a specific reason and may resubmit. Three consecutive rejections trigger manual escalation and suspend your listing activity pending senior admin review.

3.3  Bank Account and PAN Submission — Mandatory

Before any Service Listing goes live, you must submit all of the following:

  • Account Holder Name (must match the Aadhaar-verified identity for individual Providers)

  • Bank Account Number

  • IFSC Code

  • Bank Name

  • PAN (Permanent Account Number) — required for TDS compliance under Section 194O. See Part 11.2.

Bank details are used exclusively for processing your payouts. They are stored securely and never displayed publicly. You are solely responsible for the accuracy of your bank details. Pettxo shall not be liable for any failed, delayed, or misdirected payout resulting from incorrect details submitted by you.

3.4  Accuracy and Update Obligation

You warrant that all information submitted during onboarding and throughout your Platform use is truthful, accurate, complete, and not misleading. You must update your account information promptly whenever any change occurs, and in any event within 7 Working Days of any change to your bank account, contact details, or service area.

3.5 Provider Account Closure and Data Retention

Providers may request closure of their Provider account at any time through the Platform's Settings section.

Closure of a Provider account does not automatically remove or erase all information associated with the account. Pettxo may retain certain records, including but not limited to completed booking records, payment and payout history, invoices, tax records, KYC documents, dispute records, audit logs, fraud prevention records, and other information required by applicable law or legitimate business purposes.

Where no legal, regulatory, accounting, security, or dispute-related retention obligation exists, Pettxo will securely delete or permanently anonymise the remaining personal information in accordance with the Pettxo Privacy Policy.

Closure of a Provider account does not affect any rights or obligations that accrued before the effective date of closure, including pending payouts, outstanding disputes, tax obligations, indemnification obligations, or liabilities arising from services previously delivered through the Platform.

Part 4 — Service Listings and Content Standards

4.1  One Service Card Rule

Each Service Listing covers exactly one animal type and one service category. If you offer grooming for both dogs and cats, you must create two separate listings. This is a non-negotiable contractual requirement.

4.2  Content Accuracy and Responsibility

You are solely and exclusively responsible for the accuracy, completeness, and currency of all content in your Service Listings, including:

  • Service name, category, and description (minimum 30 characters, maximum 500 characters).

  • Pricing (minimum ₹1, maximum ₹99,999 per session, as specified by the Platform at the time of listing creation, which Pettxo may revise with notice under Part 15).

  • Session duration and per-slot capacity.

  • Availability schedule and service area.

You must update your listings promptly whenever any details change. You must not advertise a price on the Platform that you intend to override in person.

4.3  Professional Credentials

Uploading a professional certificate or credential to your profile is optional. If you do upload any credential:

  • You warrant that it is genuine, valid, and accurately represents your current qualification.

  • You acknowledge that Pettxo does NOT verify the authenticity, currency, or validity of any uploaded certificate.

  • Uploading a false, forged, or misrepresented credential — including presenting an expired credential as currently valid — is a material breach of this Agreement and grounds for immediate account termination.

The Unverified / Verified badge system covers identity verification only. It does not validate professional qualifications, certifications, or service competency.

4.4  Listing Restrictions

You may not create a Service Listing for any of the following:

  • Veterinary or other regulated services requiring a professional licence you do not currently hold. Representing yourself as a licensed professional when you are not may constitute an offence under the Indian Penal Code.

  • Services involving any form of animal abuse, cruelty, or activity prohibited under the Prevention of Cruelty to Animals Act, 1960 or any other applicable Indian law.

  • Services for animal species whose possession, trade, or service delivery is regulated or prohibited under Indian wildlife protection legislation.

  • Any service you are not practically and legally capable of delivering at the price, time, and location stated in your listing.

Part 5 — Booking Obligations and Service Standards

5.1  Response Obligation

On receiving a booking request, you must respond — Accept or Reject — within the following windows:

Booking Type

Maximum Response Window

Same-day booking (service within 24 hours)

Within 30 minutes from the time the request is received on the Platform, or such shorter window as the Platform specifies with reasonable advance notice to Providers

Future booking (service more than 24 hours away)

Within 4 hours from the time the request is received

There is no auto-acknowledgement on Pettxo. Every booking request requires your explicit Accept or Reject action. Non-response within the required window results in AUTO_CANCELLED status: the Pet Parent receives a 100% automatic refund and a non-response flag is recorded on your account. Repeated non-response patterns may result in account suspension. Any change to the maximum response windows above will be communicated to Providers through the Platform with reasonable advance notice.

5.2  Obligations Once You Accept a Booking

Once you accept a Booking (status: CONFIRMED), you are contractually obligated to fulfil the service. You must:

  • Arrive at the agreed service location on time and fully prepared.

  • Bring all necessary tools, equipment, and materials to deliver the service as described in your listing.

  • Collect the OTP from the Pet Parent before commencing the service.

  • Enter the OTP into the Platform to formally start the service.

  • Deliver the service as described for the full agreed session duration, or such lesser duration as is appropriate in the circumstances, provided the full scope of the listed service is completed.

  • Tap “End Service” on the Platform when the service is complete.

  • Return the pet safely to the Pet Parent or their designated representative in the same or better condition than received.

5.3  Provider Cancellation — Automatic Consequences

Provider Cancellation — Zero Payout, Zero Exceptions

If you cancel a confirmed Booking at any time before OTP entry: Pet Parent receives 100% automatic refund. Your payout: ₹0. Pettxo commission retained: ₹0.

This rule is absolute and applies regardless of the reason for cancellation. Repeated provider cancellations — as determined by Pettxo based on patterns that materially affect Pet Parent experience, and as may be further specified in Platform Rules from time to time — constitute a breach of this Agreement and may result in suspension or account termination.

5.4  Late Arrival and OTP Validity

The OTP is valid until your stated closing time for that service day. You are obligated to serve any Pet Parent who presents a valid OTP within your operating hours, regardless of how late they arrive. Refusing to accept a valid OTP within your stated operating hours constitutes provider fault in any resulting Dispute.

5.5 Notifications and Platform Communications

  • Booking requests and booking status updates
  • Booking cancellations
  • Chat and messaging notifications
  • Provider verification updates
  • Payout confirmations
  • Dispute notifications
  • Platform security alerts
  • Changes to Platform Rules
  • Important legal or policy updates
  • Customer support communications

By registering as a Service Provider and using the Platform, you consent to receive communications necessary for the operation of the Platform, including but not limited to:

Such communications may be delivered through push notifications, email, SMS, telephone, WhatsApp (where applicable), or other communication channels associated with your account.

Where Pettxo sends promotional or marketing communications, you may opt out where such functionality is made available. Opting out of promotional communications does not affect essential service-related communications required for the operation of the Platform.

Part 6 — OTP System and Service Commencement

6.1  OTP Is the Only Valid Service Start Trigger

THE OTP IS THE SOLE AND ONLY VALID SERVICE START TRIGGER ON PETTXO. No service may be deemed to have commenced without OTP entry. No alternative — verbal agreement, WhatsApp confirmation, photo, or any other method — constitutes service commencement for any purpose under this Agreement, the Cancellation & Refund Policy, or any Dispute process.

6.1.1  Technical Failure Protocol

In the event of a verified Platform technical failure that prevents OTP entry while you are at the service location with the Pet Parent present, you must:

  • Immediately notify Pettxo at hello@pettxo.com or through the Platform’s in-app support channel before commencing any service activity.

  • Await Pettxo’s written confirmation of an alternative verification method. Pettxo will endeavour to respond within 30 minutes during business hours (9am to 9pm IST, 7 days a week).

  • If Pettxo confirms an alternative in writing, proceed on that basis and retain the written confirmation.

  • If Pettxo does not respond within 30 minutes and the Pet Parent confirms their presence in writing via WhatsApp or SMS to your Platform-registered number, document that confirmation and proceed only then. Notify Pettxo at the earliest opportunity thereafter with full documentation.

Pettxo will review documented technical failure situations in good faith and determine payout eligibility based on the evidence provided. Undocumented service commencement — with no notification to Pettxo and no written Pet Parent confirmation — will not qualify for payout under any circumstances. This protocol does not affect the Pet Parent’s cancellation rights.

6.2  What You Acknowledge and Confirm by Entering the OTP

By entering the OTP on the Platform, you irrevocably acknowledge and confirm that, at the moment of OTP entry:

  • The service is commencing at the agreed service location.

  • The Pet Parent or their designated representative is present.

  • You have had the opportunity to assess the pet’s condition, temperament, and any health conditions disclosed by the Pet Parent.

  • You have assessed the pet to the best of your ability based on the information and disclosures made by the Pet Parent. Pettxo encourages Pet Parents to disclose all relevant health conditions and vaccination status but does not guarantee that Pet Parents will do so. You accept that you bear sole responsibility for assessing the pet before entry of the OTP.

  • You accept full responsibility for the pet’s safety, welfare, and physical wellbeing from this moment until the pet is returned to the Pet Parent or their designee.

  • You have no objection to proceeding with the service as booked.

  • You accept that cancellation is now permanently disabled and no refund will be issued to the Pet Parent under any circumstances.

Irrevocable Effect of OTP Entry: (a) Booking state changes to IN_PROGRESS immediately and irreversibly. (b) Cancellation is permanently disabled. (c) No refund is possible under any circumstances. (d) The Pet Parent’s refund entitlement is ₹0 from this moment. This rule cannot be waived by any party, including Pettxo support.

6.3  Service Completion

When you have completed the service, you must tap “End Service” on the Platform. This moves the Booking to COMPLETED_PENDING_REVIEW status and opens a 24-hour Dispute window for the Pet Parent. If no Dispute is raised within 24 hours, the Booking reaches COMPLETED_FINAL status and your earnings are automatically released to your registered bank account.

Part 7 — Prohibited Conduct and Off-Platform Payments

7.1  Absolute Prohibition on Off-Platform Payments

OFF-PLATFORM PAYMENTS ARE A MATERIAL BREACH OF THIS AGREEMENT.

Accepting, soliciting, or facilitating any payment from a Pet Parent outside the Pettxo platform for any service connected to the Platform is strictly and absolutely prohibited.

First violation: a formal written warning issued via the Notices mechanism in Part 17.9, specifying the nature of the violation, the effective date of suspension, and the consequences of any further violation; and a 30-day account suspension. Payouts for Completed Bookings prior to suspension will continue to be processed per Part 8.2 and will not be withheld unless Pettxo’s investigation reveals evidence of fraudulent intent in connection with those specific Bookings.

Second violation: permanent account termination with immediate forfeiture of all pending payouts from Bookings made after the date of the first violation.

You are strictly prohibited from:

  • Accepting or requesting any payment — cash, UPI, bank transfer, digital wallet, or any other form — directly from a Pet Parent for any service listed on, discovered through, or booked through the Platform.

  • Sharing your UPI ID, personal phone number beyond what the Platform releases post-confirmation, bank account details, or any payment handle with a Pet Parent in connection with a Platform-connected service.

  • Directing a Pet Parent to cancel a Platform booking and rebook offline in exchange for a lower price, a discount, or any other benefit.

  • Offering or accepting any financial incentive in exchange for an off-platform transaction.

7.2  Duty to Report

If any Pet Parent solicits an off-platform payment from you, you must report this to Pettxo at hello@pettxo.com within 24 hours. Failure to report a known solicitation that is later discovered may, depending on the circumstances, be treated as complicity and subject to the same consequences as active participation.

7.3  Additional Prohibited Conduct

The following also constitute material breaches of this Agreement:

  • Creating fake, duplicate, or materially misleading Service Listings or profile information.

  • Impersonating another provider, professional, or business entity.

  • Uploading false, forged, or misrepresented identity documents or professional credentials.

  • Creating multiple accounts without Pettxo’s prior written consent, including to circumvent any ban, suspension, or platform restriction.

  • Manipulating the review and rating system, including generating, purchasing, or incentivising fake reviews, or requesting reviews in exchange for any benefit.

  • Colluding with Pet Parents to generate fraudulent bookings, fake payouts, or refund abuse.

  • Engaging in any form of animal abuse, cruelty, neglect, or mistreatment of any animal while using the Platform or delivering any Platform-connected service.

  • Using Pet Parent contact details collected through the Platform for any purpose other than coordinating the specific confirmed Booking.

  • Any conduct that is unlawful under the laws of India in connection with your use of the Platform or delivery of services booked through the Platform.

7.4  Consequences of Prohibited Conduct

Pettxo reserves the right, at its sole discretion, to impose any or all of the following:

  • Immediate removal of one or all of your Service Listings.

  • Temporary suspension of your account pending investigation.

  • Permanent termination of your account. For violations involving fraud, collusion, or Off-Platform Payments: forfeiture of all pending payouts from Bookings made after the date the violation first occurred. For other material breaches: pending payouts for Completed Bookings will be released per Part 8.2 after conclusion of any investigation.

  • Legal action under applicable Indian laws, including the Indian Penal Code, Information Technology Act 2000, Consumer Protection Act 2019, and Prevention of Cruelty to Animals Act 1960.

  • Reporting of suspected criminal or regulatory violations to the relevant law enforcement or regulatory authorities.

7.5 Chargebacks, Payment Reversals and Fraud Recovery

  • Recover the corresponding amount from future Provider payouts;
  • Offset any outstanding amounts against future earnings;
  • Temporarily suspend payouts pending investigation;
  • Require repayment of amounts previously paid to the Provider where legally permitted; and
  • Suspend or permanently terminate the Provider account where appropriate.

If Pettxo receives a payment chargeback, payment reversal, bank reversal, payment gateway recovery, fraudulent payment notification, or any similar reversal relating to a Booking, Pettxo reserves the right to investigate the circumstances surrounding the transaction.

Where Pettxo reasonably determines that the chargeback or reversal resulted from fraudulent activity, Provider misconduct, breach of this Agreement, or any act or omission attributable to the Provider, Pettxo may:

Nothing in this clause limits Pettxo's right to pursue any additional legal remedies available under applicable law.

7.6 Temporary Suspension During Investigation

  • Pausing one or more Service Listings;
  • Preventing acceptance of new Bookings;
  • Temporarily withholding payout processing where permitted by applicable law;
  • Restricting messaging functionality relating to affected Bookings; or
  • Limiting access to specific Platform features necessary to protect users or investigate the matter.

Where Pettxo reasonably believes that a Provider may have breached this Agreement, Platform Rules, applicable law, or engaged in conduct that may compromise user safety, Platform integrity, or payment security, Pettxo may temporarily suspend or restrict one or more Platform features while an investigation is ongoing.

Such temporary measures may include:

Temporary suspension does not constitute a final determination of wrongdoing and shall not prevent Pettxo from taking additional action following completion of the investigation.

7.7 Cooperation with Investigations

Providers agree to cooperate fully with any investigation conducted by Pettxo relating to fraud, payment disputes, user complaints, abuse of the Platform, safety incidents, suspected criminal activity, or violations of this Agreement.

Where required by applicable law or lawful governmental request, Pettxo may cooperate with law enforcement agencies, regulatory authorities, courts, payment processors, financial institutions, or other competent authorities by providing information reasonably necessary for the investigation or enforcement of applicable laws.

7.8 Review Integrity and Rating Manipulation

  • Submit or encourage fake, misleading, fabricated, or deceptive reviews;
  • Purchase, sell, or otherwise manipulate reviews or ratings;
  • Offer discounts, gifts, refunds, incentives, or compensation in exchange for positive reviews;
  • Coordinate review manipulation or rating inflation;
  • Create multiple accounts or arrange for others to submit artificial reviews; or
  • Retaliate against Pet Parents for leaving genuine reviews.

Ratings and reviews are intended to reflect genuine experiences between Pet Parents and Service Providers.

Providers must not:

Pettxo reserves the right to investigate, moderate, edit, remove, suppress, or disable any review or rating that it reasonably believes violates this Agreement, Platform Rules, or applicable law.

Repeated or serious violations may result in suspension or permanent termination of the Provider account.

Part 8 — Commission, Payouts, and Cancellation Economics

8.1  Platform Commission

Pettxo charges a platform commission on each Booking. On Completed Bookings, Pettxo retains fifteen percent (15%) of the Booking Value and the Provider receives the balance. On cancelled Bookings after the Grace Window expires, Pettxo retains a variable Pettxo Fee as detailed in the Cancellation Payout Schedule in Part 8.3. By listing any service on the Platform, you acknowledge and accept this commission structure.

8.1.1  GST on Commission

The Pettxo Commission stated above is exclusive of Goods and Services Tax (GST). Pettxo is currently below the mandatory GST registration threshold under the Goods and Services Tax Act, 2017, and does not presently charge GST on its Commission. If and when Pettxo becomes required by law to register for GST and charge GST on its commission services, Pettxo will notify all active Providers at least 30 days in advance. From the effective date of such notification, the applicable GST rate will be deducted from Provider payouts in addition to the Commission. The 30-day notice under this clause satisfies the material change notice requirement under Part 15.

8.2  Payout Release Timeline

Your earnings from a Completed Booking are released after the Booking reaches COMPLETED_FINAL status — which occurs automatically 24 hours after you tap “End Service”, provided no Dispute is raised. Pettxo targets payout initiation within 3 Working Days of COMPLETED_FINAL status.

Pettxo currently absorbs payment gateway transaction fees as part of its operating costs; these are not deducted from Provider payouts. If Pettxo introduces payment gateway fee pass-through to Providers in the future, this will be treated as a material change to economic terms and notified in accordance with Part 15. Delays caused by banking institutions or payment gateway partners once payout has been initiated by Pettxo are outside Pettxo’s responsibility.

8.3  Cancellation Payout Schedule

When a Pet Parent cancels after the Grace Window expires, your payout is determined as follows. The applicable row is determined by the time remaining between the cancellation timestamp (server-side) and the scheduled service start time:

Time Remaining Before Service at Cancellation

* In the first row (cancellation more than 24 hours before service), the Pettxo Fee of 10% is a platform cancellation processing fee — not a service commission — as no service was delivered. In all other rows, the Pettxo Fee constitutes the standard 15% Pettxo Commission on a Booking which the Provider had prepared and committed to deliver, and for which the Provider’s allocated time slot held economic value. All percentages are calculated on the total Booking Value and are exclusive of any GST that may become applicable per Part 8.1.1. Slab percentages are fixed and non-negotiable. The Platform’s server-side timestamp at the moment of cancellation is the authoritative and final record.

8.4  No-Show Payout

If a Booking reaches NO_SHOW_SYSTEM status (as defined in Part 1), your payout is 85% of the Booking Value. Pettxo retains 15%. The Pet Parent receives 0% refund. Where the NO_SHOW_SYSTEM status was triggered due to a claimed Platform technical error affecting OTP recording, you may raise a technical Dispute within 24 hours per Part 13. Where the NO_SHOW_SYSTEM status was triggered due to your own non-attendance at a confirmed Booking, the 85% payout is withheld; you must raise a Dispute within 7 days of the service date if you believe the determination is incorrect, and Pettxo will investigate. A Provider who repeatedly fails to attend confirmed Bookings is subject to account suspension or termination under Part 12.2.

8.5  Provider Cancellation Payout

If you cancel a confirmed Booking at any time before OTP entry: your payout is ₹0, the Pet Parent receives 100% automatic refund, and Pettxo retains ₹0. No exceptions. Pettxo accepts no liability for any costs you may have incurred in preparation for a Booking that is cancelled, including costs incurred before a Pet Parent cancellation within the Grace Window.

8.6  Grace Window Cancellation

A Grace Window applies immediately after payment. Duration: 10 minutes (service in less than 6 hours), 15 minutes (between 6 and 12 hours), or 30 minutes (12 hours or more before service). During this window, the Pet Parent may cancel for a 100% refund. Your payout is ₹0. This window is unconditional and cannot be overridden by you or by Pettxo.

8.7  Commission Structure Changes

Pettxo may revise its commission structure with a minimum of 30 days’ advance notice via in-app notification and/or registered email. Continued use of the Platform after the notice period constitutes acceptance of the revised structure.

Part 9 — Liability for Pet Care and Service Failure

9.1  Your Full Liability Once OTP Is Entered

Your Liability Once OTP Is Entered

From the moment you enter the OTP until the pet is physically returned to the Pet Parent or their designee, you bear full and exclusive responsibility for the pet’s safety, welfare, and physical wellbeing. Pettxo has no role in this period and assumes no liability whatsoever for any outcome during service delivery.

You assume full and exclusive liability for:

  • Any physical injury, illness, adverse health event, or death suffered by any pet in your care from OTP entry until the pet is returned to the Pet Parent.

  • Any documented behavioural harm directly resulting from the service, as evidenced by a written assessment from a licensed veterinarian within 7 days of the service date.

  • Any property damage caused during service delivery.

  • Physical injury to any third party caused by you or by any pet while under your supervision, as a result of your negligence or failure to exercise reasonable care.

  • Failure to deliver the service as listed, including early departure, service abandonment, or unjustified refusal to serve.

  • Any harm arising from your use of products, tools, equipment, or techniques not disclosed to or consented to by the Pet Parent. Where you intend to use any non-standard product or technique, you should document the Pet Parent’s agreement through the Platform’s in-app chat or messaging feature before proceeding, where feasible.

  • Any liability arising from your misrepresentation of qualifications, experience, or professional capabilities.

9.2  Insurance Recommendation

Pettxo strongly recommends that you maintain appropriate professional indemnity and public liability insurance for your service type. Pettxo does not require proof of insurance, does not verify coverage, and assumes no responsibility for any uninsured liability you incur. The absence of an insurance requirement does not in any way diminish your liability to any affected party.

9.3  Pettxo Is Not Liable for Service Outcomes

Pettxo is a technology platform — not a pet care provider, employer, or guarantor of any service outcome. Pettxo is not liable for:

  • Any injury, illness, death, or adverse health outcome suffered by any pet.

  • Any property damage arising from service delivery.

  • The professional quality, safety, or outcome of any service.

  • Your skill, judgment, professional conduct, or service standards.

  • Any act or omission by you before, during, or after service delivery.

9.4  Indemnification

You agree to fully indemnify, defend, and hold harmless Pettxo Private Limited, its directors, officers, employees, agents, and successors from and against all claims, damages, losses, penalties, fines, and expenses arising out of or in connection with:

10.3  Pet Parent Contact Data — Strict Use Limitation

  • Using Pet Parent contact details for any Off-Platform payment or booking transaction.

You must not retain Pet Parent phone numbers released by the Platform after the conclusion of the relevant Booking. Retention beyond operational coordination of the specific Booking constitutes a breach of this clause and of India’s Digital Personal Data Protection Act, 2023.

10.4  Data Accuracy Warranty

You warrant that all data submitted to the Platform is truthful, accurate, and does not infringe the intellectual property, privacy, or other rights of any third party. The use of automated technologies does not guarantee the accuracy, completeness, or outcome of any recommendation, moderation decision, fraud assessment, or other automated result.

Part 11 — Income Tax, TDS, and Financial Compliance

11.1  Your Sole Tax Responsibility

Tax Is Your Sole Responsibility

All income you earn through the Pettxo Platform is your income. You are solely responsible for declaring this income to the Income Tax Department of India, filing your income tax returns, and paying all applicable taxes. Pettxo does not provide tax advice and bears no responsibility for your tax compliance.

You are solely responsible for:

  • Declaring all earnings received through Pettxo as income in your Indian Income Tax Return.

  • Paying all applicable income tax on your Platform earnings.

  • Obtaining and maintaining GST registration if your annual taxable turnover from all sources exceeds the prescribed threshold under the Goods and Services Tax Act, 2017.

  • Obtaining any professional licences, business registrations, or local authority permissions required for your specific service type in your service area.

  • Maintaining accurate and complete financial records of all Platform earnings as required by applicable Indian tax and financial law, which Pettxo estimates to be a minimum of 7 years for most Providers.

11.2  TDS Under Section 194O of the Income Tax Act, 1961

Pettxo is an e-commerce operator as defined under Section 194O of the Income Tax Act, 1961. The following TDS rules apply:

Provider Type

TDS Applicability

Individual Providers and Hindu Undivided Families (HUFs)

TDS at 1% applies on gross Platform earnings exceeding ₹5,00,000 (Rupees Five Lakh) per financial year

Companies, Firms, LLPs, and all other non-individual entities

TDS at 1% applies on all Platform earnings from the first rupee, with no minimum threshold, as required under Section 194O read with applicable CBDT circulars

Pettxo’s tax reference details for TDS compliance purposes:

  • PAN: AAQCP8119C

  • TAN: JBPP08769F (Jabalpur, Madhya Pradesh)

Providers may use Pettxo’s TAN to verify TDS credits in their Form 26AS via the TRACES portal (tdscpc.gov.in). Pettxo will:

  • Deduct TDS at the applicable rate from your payouts when the legal requirement is triggered.

  • Deposit the deducted TDS with the Income Tax Department as required under Section 194O, in Pettxo’s capacity as the e-commerce operator and deductor.

  • File quarterly TDS returns in the prescribed form (currently Form 26Q for resident Indian Providers; for non-resident Providers, if any, the applicable form as prescribed by the Income Tax Department) with the Income Tax Department, enabling the deducted TDS to appear in your Form 26AS as generated by the TRACES system.

  • Make earnings summaries available within the Platform for your tax filing purposes.

You must ensure your valid PAN is registered on the Platform when required by law. Failure to provide a valid PAN when requested may result in TDS deduction at a higher rate as prescribed under Section 206AA of the Income Tax Act, 1961.

11.3  No Tax Advice from Pettxo

Nothing in this Agreement or anywhere on the Platform constitutes tax advice. Pettxo recommends that you consult a qualified Chartered Accountant or tax advisor for guidance on your specific tax obligations arising from Platform earnings.

Part 12 — Platform Rights: Listings, Accounts, and Access

12.1  Right to Remove or Delist Service Listings

Pettxo reserves the right to remove, pause, or permanently delist any Service Listing at its sole discretion, including in any of the following circumstances:

  • Aadhaar submission fails verification and you do not cure the failure within the resubmission process.

  • Any content in your listing is found to be false, misleading, or in violation of Part 4.

  • Your listing is associated with prohibited conduct under Part 7.

  • A pattern of provider cancellations, non-responses, or poor dispute outcomes that Pettxo determines is harmful to Pet Parent experience and Platform integrity.

  • A legal or regulatory requirement compels removal.

  • Any concern for user safety or platform reputation, at Pettxo’s sole discretion.

12.2  Right to Suspend or Terminate Accounts

Pettxo may suspend or permanently terminate your Provider account for any material breach of this Agreement, any violation of applicable Indian law in connection with your Platform use, or any conduct posing a risk to user safety or platform integrity. Pettxo will generally provide advance notice for non-urgent breaches. Immediate suspension or termination without prior notice applies where Pettxo determines there is an immediate risk to user safety, evidence of ongoing fraud, or criminal conduct. Pettxo’s determination of urgency is at its reasonable discretion.

Upon account termination, all active and future Service Listings are immediately removed. Bookings in REQUESTED or CONFIRMED status at the time of termination will be AUTO_CANCELLED and Pet Parents will receive 100% automatic refunds. Pending payouts for Completed Bookings before termination will be released per Part 8.2, except where payout forfeiture applies under Part 7.4.

12.3  Platform Changes

Pettxo reserves the right, at any time and without liability to you, to: (a) modify, update, or discontinue any feature, service category, or functionality; (b) revise commission structures subject to Part 8.7; (c) restrict access to certain features or geographic regions.

In the event of a full Platform shutdown, Pettxo will endeavour to provide at least 30 days’ advance notice to all active Providers via the Notices mechanism in Part 17.9, except where such notice is prevented by legal, regulatory, or emergency circumstances beyond Pettxo’s control. Upon a confirmed shutdown, all confirmed Bookings will be cancelled and Pet Parents will receive full refunds. Any pending Provider payouts for Completed Bookings will be processed within 15 Working Days of the shutdown announcement.

12.4 Compliance with Community Guidelines

In addition to this Agreement, all Service Providers must comply with Pettxo's Community Guidelines, Platform Rules, and any other policies published by Pettxo from time to time.

Violation of the Community Guidelines may result in moderation actions including warning, temporary restriction, listing removal, suspension, or permanent termination of the Provider account depending on the nature and severity of the violation.

Part 13 — Dispute Resolution

13.1  Platform Dispute Windows

The following Dispute windows apply on the Platform:

  • Pet Parent Booking Disputes: within 24 hours of service completion (from COMPLETED_PENDING_REVIEW status).

  • Pet Parent No-Show Disputes: within 24 hours of a Pet Parent No-Show being system-flagged.

  • Provider Non-Attendance Disputes: where NO_SHOW_SYSTEM status has been triggered and the Provider believes it reflects Provider non-attendance rather than Pet Parent non-attendance, the Provider may raise a Dispute within 7 days of the scheduled service date.

  • Provider Technical Failure Disputes: where NO_SHOW_SYSTEM status has been triggered due to a claimed Platform technical error affecting OTP recording, the Provider may raise a technical Dispute within 24 hours of the NO_SHOW_SYSTEM trigger.

  • General Provider Disputes: in relation to a payout discrepancy (incorrect amount received for a Completed Booking), the Provider may raise a Dispute within 30 days of the date the payout was initiated by Pettxo. Disputes relating to No-Show determinations are governed by the specific windows above.

All Disputes must be raised through the Platform’s dispute interface. These time limitations apply to Platform-level booking disputes only and do not affect any statutory rights either party may have under the Consumer Protection Act, 2019 or any other applicable law.

13.2  Your Cooperation Obligation

You must cooperate fully with any Pettxo dispute investigation. Failure to respond to a dispute notification within 48 hours will be treated as an adverse factor in the dispute determination.

13.3  Evidence Used in Dispute Review

Pettxo considers all relevant evidence available, which may include but is not limited to:

  • OTP generation and usage logs (timestamp, device ID).

  • Full Booking state history (all state transitions with timestamps).

  • Provider and Pet Parent account history (prior disputes, cancellations, rating patterns).

  • Any media, notes, or in-Platform messages related to the Booking.

  • Veterinary reports, photographs, WhatsApp/SMS documentation, or third-party evidence submitted by either party.

13.4  Dispute Outcomes

Finding

Outcome

Provider at fault

100% refund to Pet Parent drawn from the full Booking Value held by the Platform. As no Completed Booking occurred, no Pettxo Commission is earned and no Provider payout is released.

Pet Parent at fault

Provider payout released per the applicable cancellation or No-Show schedule. Pet Parent refund: ₹0.

Inconclusive / Edge case

Admin review. A partial refund may be issued at Pettxo’s sole discretion, drawn from the Booking Value held by the Platform.

All refunds issued as dispute outcomes are drawn from the total Booking Value held by the Platform, which includes both the Provider’s expected payout and the Pettxo Commission. Pettxo does not issue refunds from its own operating funds in dispute outcomes.

13.5  Finality of Platform Dispute Decisions

Pettxo’s determination on any Platform-level Dispute is final and binding, subject only to escalation rights under Part 16.3. For claims exceeding ₹5,00,000 or involving allegations of negligence, fraud, or criminal conduct, either party may escalate per Part 16.3.

Part 14 — Pettxo’s Liability to Service Providers

14.1  Nature of Platform

Pettxo is a technology intermediary. It facilitates connections and transactions between independent parties. It does not provide, supervise, or guarantee any pet care service. The Verified badge confirms identity only — not professional competence, service quality, or legal compliance.

14.2  Exclusions

To the maximum extent permitted under applicable Indian law, Pettxo shall not be liable to you for:

  • Indirect, consequential, incidental, punitive, or special damages of any kind.

  • Loss of anticipated revenue, profits, customers, or business opportunity.

  • Loss of data, reputation, or goodwill.

  • Losses arising from Platform downtime, technical failures, or third-party failures including Razorpay or any payment gateway.

  • Force majeure events including natural disasters, government actions, epidemics or pandemics, acts of terrorism, labour disputes, internet disruptions, or any other event beyond Pettxo’s reasonable control.

  • Losses arising from changes to the Platform, commission structure, or this Agreement made in accordance with Part 15.

14.3  Maximum Aggregate Liability

Pettxo’s maximum aggregate liability to you for all claims arising under this Agreement (whether in contract, tort, negligence, or otherwise) is limited to the total Pettxo Commission amounts received from your Completed Bookings during the three (3) calendar months immediately preceding the date on which the relevant claim first arises.

Part 15 — Modifications to This Agreement

Pettxo may update or replace this Agreement at any time. For material changes that affect your rights or obligations:

  • Pettxo will provide at least 14 days’ advance notice via in-app notification and/or registered email.

  • The updated Agreement will be posted with a revised Effective Date and version number.

  • Continued use of the Platform after the 14-day notice period constitutes your acceptance of the revised Agreement. For the avoidance of doubt, maintaining an active Service Listing on the Platform constitutes continued use for the purposes of this clause, regardless of whether the Provider has actively logged into the Platform during the notice period.

  • If you do not accept the revised Agreement, you must cease listing services and notify Pettxo at hello@pettxo.com. If you are unable to honour confirmed Bookings as a result of a terms change, you must notify Pettxo immediately and the standard Provider Cancellation consequences under Part 5.3 will apply to any unserviced Bookings. All active confirmed Bookings that you are able to service must still be honoured.

For the purposes of this Part, a change is material if it alters the economic terms, core obligations, liability provisions, or termination rights of this Agreement. Changes to Platform Rules, operational guidelines, UI specifications, or other measures that do not alter the legal effect of this Agreement do not constitute material changes requiring 14 days’ notice. Pettxo’s determination of materiality is made in good faith.
